Terms & conditions.
1. Who we are and when these terms apply
“Blyvo Studio”, “Blyvo”, “we” and “us” mean Blyvo Studio, a website redesign business based in Ontario, Canada. “You” means the business or person we are working with or talking to, and anyone acting for them.
These terms apply to your use of useblyvo.com and to every preview, redesign, launch and related service we provide. You accept them when you ask us for a preview, approve a launch, or pay an invoice. If we agree something different with you in writing (for example a quote with a different price), that written agreement wins where it differs from these terms.
If you accept these terms for a business, you confirm you are allowed to do so on its behalf.
2. What we do
We redesign existing business websites. We rebuild your current pages, words, photos and business details (such as hours, address and phone number from your public Google Business Profile) in a modern design, show you a private preview, make the changes you ask for, and, when you approve it, launch it on the domain you already own.
A standard redesign covers the pages and content of your current website. It does not include new features your current site doesn’t have, such as an online store with checkout, a booking or payment system, customer accounts or member areas, listings feeds, or ongoing marketing. We can quote those separately.
3. Free previews
We may build a preview of a redesigned website for your business, sometimes before you contact us, using information that is already public: your current website and your public business listings. A preview is a design proposal. It is not your official website, it is clearly labelled as a design preview, it is kept off search engines, and it is shared only through a private link.
A preview costs you nothing and puts you under no obligation. You can ask us at any time to take a preview down and delete it, and we will. Until you have paid for it, a preview and its design remain ours.
4. Changes before launch
You can ask for reasonable changes to the preview before launch — wording, photos, colours, order of sections and similar — and we will make them at no extra cost. Requests that go beyond a redesign of your current site (see section 2) may be quoted separately; we will tell you before doing any paid work.
5. Price, invoice and payment
Prices vary from project to project. We agree the price for your redesign with you before launch and confirm it in writing (in a quote, a message or the invoice), in Canadian dollars. The agreed price is the total you pay; nothing is added on top. There are no subscriptions, no automatic renewals and no hidden fees.
We invoice you only after your new website is live on your domain. Payment is due within 7 days of the invoice date. You pay online by card through Stripe, using the secure payment link on the invoice (or by cash or cheque). Card payments are processed by Stripe; we never see or store your full card number. Paying does not take away any right you have with your card issuer, including the right to dispute a charge. If an invoice is unpaid 14 days after it is due, we may, after giving you written notice, charge interest at 12% per year (1% per month) on the overdue amount and take the website offline until it is paid.
Because you only pay after you have seen, approved and launched the finished website, fees are non-refundable once paid, except where the law requires otherwise or we agree in writing.
6. Saying no, or stopping
Either of us can stop at any time before launch, at no cost. If you decide not to go ahead, simply tell us; we will take the preview down. Ending is as easy as starting: one email or phone call is enough.
If you do not want to launch because the preview still isn’t right after reasonable changes, you owe nothing.
7. Your content and your approval
You confirm that you own, or have permission to use, the content you give us or ask us to use — including text, logos, photos and anything on your current website or business listings — and that using it on your new website will not infringe anyone’s rights.
Before launch, you review the website and confirm that the business information on it is correct: services, prices, hours, contact details, claims about your business, and any reviews shown. Once you approve the launch, the accuracy of that information is your responsibility, and you should tell us if it changes.
Reviews we show on your website are real reviews from your public listings or provided by you, shown with the name the reviewer chose to display. We never write reviews or testimonials. If you ask us to remove a review from your website, we will.
8. Use of AI and images
We use software tools, including artificial-intelligence (AI) tools, to help us write and edit website copy, check layouts, and create images. A person at Blyvo reviews the result, and you approve it before launch.
Where we create images with AI, they are generic illustrations (for example a scene or a product), never presented as photographs of your actual premises, staff or work. We use your real photos for those whenever they are good enough. AI-generated images may resemble images made for others and are not exclusive to you.
9. Ownership and licence
You keep all rights in your own content: your name, logo, text, photos and business information.
Once you have paid in full, you receive a permanent, non-exclusive licence to use, change and host the website we delivered for your business. The underlying design styles, templates, code libraries, tools and know-how we use remain ours or our licensors’, and we may use similar styles for other clients. Some designs are built on third-party templates used under licence; you may not resell or redistribute the design or code as a template or product.
With your permission, we may show your new website’s design in our portfolio. We never share your private information, and you can ask us to remove it at any time.
10. Launch, domain and hosting
Your domain name stays yours, registered in your name with your provider. We never take ownership of it. To launch, you (or we, with access you choose to give us) change two settings at your domain provider so that your domain points to the new website. Your email and other services on the domain are left untouched.
After launch, we host your website with our hosting provider at no ongoing charge while we provide this service. If that ever changes, we will give you at least 30 days’ written notice and, at your request, hand over the website files so you can host them elsewhere. You can ask for the files at any time after you have paid. We don’t guarantee uninterrupted availability, because hosting relies on third-party providers, but we will act promptly on problems you report.
Support after launch: for the first 7 days after your website goes live, we make edits free of charge. After that, edits and new work are quoted first, and nothing is charged without your OK.
11. Other companies’ services
Your website may link to or include services run by other companies, such as booking, ordering, reservation, payment, patient-portal, map and email providers. Those services are provided under their own terms and privacy policies. We connect your website to them, but we do not control them and are not responsible for their availability, fees, data handling or errors.
Messages sent through your website’s contact form are delivered by our hosting provider to the email address you choose. We cannot guarantee that every message arrives (for example, if it is caught by a spam filter), so please check that address regularly and tell us if it changes.
12. What we don’t promise
We build fast, well-structured websites that follow good practice for search engines, but we do not guarantee any particular search ranking, amount of traffic, number of enquiries or sales. Except as these terms say, the website and our services are provided “as is”, to the extent the law allows.
13. Limit of liability
To the fullest extent permitted by law, our total liability to you for any claim relating to our services is limited to the amount you paid us for the service the claim relates to, and we are not liable for indirect, incidental or consequential losses, such as lost profits, lost business, lost data or reputational harm.
Nothing in these terms limits any right you have that cannot be limited by law, or our liability for fraud, or for harm we cause deliberately or through gross negligence.
14. Your responsibility to us
You agree to cover our reasonable costs, including legal fees, if a third party makes a claim against us because of content you provided or approved, information you confirmed as correct, or your use of the website in breach of the law or these terms.
15. Contacting businesses
We may contact a business once, at its published business contact details, about a preview we built for it. Every message says who we are and how to reach us, and you can ask us to stop contacting you at any time; we will stop promptly.
16. General
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be decided by the courts of Ontario, and we will always first try to resolve it with you directly and in good faith.
We are not responsible for delays or failures caused by events outside our reasonable control, such as outages at hosting or internet providers. If any part of these terms is found unenforceable, the rest still applies. You may not transfer your rights under these terms without our consent. These terms, together with any written quote or invoice, are the whole agreement between us about our services.
We may update these terms from time to time. The version that applies to a project is the one in force when you approved its launch, unless we both agree otherwise. The date at the top shows the latest update.
